FAQ

Common questions.

Answers to the questions we field most often. More in the full fund documentation.

Is Fund I open to international investors?
Yes. Fund I accepts commitments from qualifying international investors through our Mauritius feeder vehicle. Onshore ZAR commitments are made directly into the RSA master fund. All documentation is issued by our legal counsel on request.
What is the minimum commitment?
R 50 million for institutional LPs. R 20 million for qualifying family offices. Discretionary smaller allocations are considered where they bring sector expertise or strategic alignment.
Do you invest in minority positions?
No. The Digital Kaizen programme requires operational control. Every investment in Fund I is a control position — minimum 51%, typically 75–100%.
Do you take family-office co-investment?
Yes. Catalyst offers co-investment rights to LPs in the fund, pro-rata to their commitment. Non-LP co-investment is considered on a deal-by-deal basis where strategic alignment is material.
How is the fund classified for tax?
The fund is structured as an en commandite partnership under South African law, with a Mauritius feeder for international LPs. Section 12J successor relief is applied where available; full tax memo is in the data room.
If I own a manufacturer, what is the first step?
Submit an enquiry through the Pipeline route above, or email gys@digitalkaizen.co.za or robin@digitalkaizen.co.za directly. We sign a mutual NDA, then hold a 60-minute introductory call. If there is a fit, we move to a two-day on-site diagnostic within six weeks.
